NORE seller agreement

1. Parties and definitions
1.1. Operator – MB Prekybos idejos, registration no. 32312345, address Aluonos g. 16, Vijuku km., Kaunas raj., Lietuva, email [email protected], which runs the online marketplace NORE (nore.lt, its subdomains and the domains assigned to shops; the Marketplace).
1.2. Seller – the person whose details were provided when registering on the Marketplace and who sells their goods on it.
1.3. Buyer – a person who buys goods from the Seller through the Marketplace.
1.4. Terms of sale – the terms of sale published on the Marketplace, under which contracts between the Seller and Buyers are concluded. They are Annex 1 to this agreement (the Agreement).
1.5. Shop – the Seller's goods page on the Marketplace.
1.6. The Agreement is concluded electronically when the Seller ticks their consent to it during registration. The Operator keeps the time of consent and the Agreement version; every version of the Agreement stays publicly available on the Marketplace.
2. Subject and roles of the parties
2.1. The Operator enables the Seller to create Shops, list goods and receive orders on the Marketplace, and the Seller pays the Operator a commission.
2.2. The Operator is a sales intermediary. It is not the seller of the goods and not a party to the sale contract between the Seller and the Buyer.
2.3. The Seller sells the goods and fulfils the orders. In their own name and on their own responsibility the Seller is responsible for:
- the quality and safety of the goods and their conformity with the description and the law;
- delivering the goods;
- returns and the Buyer's right of withdrawal;
- refunds to the Buyer;
- handling quality complaints and the legal guarantee;
- taxes, accounting and all other obligations of their business.
2.4. The Seller agrees that their name, code (individual activity certificate or business licence number, or company code), VAT code, address and contacts are shown to Buyers in the Shop, at checkout and in order documents, as consumer protection law requires. The personal identification code is never published.
3. Requirements for Sellers
3.1. A Seller may be:
- a legal entity registered in the Republic of Lithuania;
- a natural person holding an individual activity certificate or a business licence covering the making of or trading in the Seller's goods.
3.2. The Seller must have a Paysera account to which the proceeds of sales are transferred (section 7).
3.3. The Seller provides true and complete details and contacts and informs the Operator without delay when they change. The Operator may ask for documents confirming the details and check them in public registers.
3.4. Sellers register by invitation from the Operator. The Operator approves or rejects a registration after assessing the details provided and whether the goods suit the Marketplace.
4. Listing goods
4.1. The Seller lists only goods they are entitled to sell and that comply with the law of the Republic of Lithuania and the European Union, including product safety requirements.
4.2. A description must be true and sufficient for a decision to buy: materials, dimensions, colour, care, the manufacturer (if not the Seller) and, where needed, warnings and safety information in Lithuanian.
4.3. Prices are given in euros including all taxes. Delivery prices are set in the Shop's delivery settings. When announcing a price reduction, the Seller shows as the prior price the lowest price applied during the 30 days before the reduction.
4.4. The Seller states how many working days after payment they dispatch goods (for the Shop and, where needed, for a single product) and keeps to it.
4.5. The Seller marks a product as an exception to the Buyer's right of withdrawal (made to the Buyer's specifications or personalised, perishable, a hygiene item once unsealed) only where the Civil Code of the Republic of Lithuania provides for that exception. Being handmade alone is not an exception.
4.6. Annex 2 applies to photos, descriptions and prohibited goods.
4.7. The Seller confirms they hold the rights to the texts and photos they publish and grants the Operator a non-exclusive, royalty-free right to use them on the Marketplace and in its advertising while the Agreement is in force.
5. Fulfilling orders
5.1. The contract with the Buyer is concluded when the Buyer pays for the order. The Seller is notified by email and sees the order in the seller area.
5.2. The Seller dispatches the goods within the stated time by the delivery method the Buyer chose and marks the dispatch on the Marketplace (with the tracking number, if any).
5.3. If the Seller cannot fulfil an order, they inform the Buyer without delay and refund everything paid for the unfulfilled part within 14 days at the latest.
5.4. The Seller answers Buyers' questions within 2 working days.
6. Returns, refunds and guarantee
6.1. The Seller applies the return terms of the Terms of sale and may not apply terms less favourable to the Buyer. The Seller agrees that:
- the Buyer may withdraw from the contract within 14 days of receiving the goods without giving a reason;
- the Buyer bears the direct cost of returning the goods;
- on receiving the Buyer's withdrawal notice, the Seller tells the Buyer the return address without delay;
- the Seller refunds all payments received from the Buyer, including the original standard delivery cost, within 14 days of receiving the withdrawal notice, by the same means of payment (through Paysera). The Seller may withhold the refund until the goods are received or the Buyer supplies proof of having sent them back;
- the Seller may reduce the refund only for diminished value resulting from handling the goods beyond what is necessary to establish their nature, characteristics and functioning.
6.2. The Seller is liable for the conformity of goods with the contract as provided by law. The Seller examines a Buyer's complaint and answers within 14 days at the latest. Where goods do not conform, the Seller repairs or replaces them at the Buyer's choice or, in the cases provided by law, reduces the price or refunds. The Seller bears all costs related to the non-conformity, including shipping.
6.3. The Seller records returns and refunds on the Marketplace so that credit documents are issued.
7. Payments and commission
7.1. Buyers pay through the payment service provider Paysera (Paysera). Each payment is split: the commission is transferred to the Operator and the remainder to the Seller's Paysera account. The Operator does not hold or manage Buyers' funds. Paysera's terms and fees apply to Paysera's services.
7.2. The commission is calculated on the full amount paid for the order by the Buyer, delivery included, at the rate applied to the Shop and shown in the seller area. The rate is changed as set out in clause 11.2.
7.3. For each paid order the Operator issues the Seller a commission invoice.
7.4. Where the Buyer is refunded in full or in part, the commission is neither refunded nor reduced.
7.5. The Seller authorises the Operator to issue sale invoices and credit notes to Buyers in the Seller's name, based on the details the Seller provided and using the Seller's invoice series. The Seller is responsible for the accuracy of those details, for taxes and for accounting. Copies of the invoices are available in the seller area.
8. Operation of the Marketplace and ranking
8.1. The Operator aims to keep the Marketplace available at all times but may limit its operation temporarily for maintenance, updates or reasons beyond its control.
8.2. In product lists goods are shown newest first by default; Buyers may sort by price, and search results are ordered by relevance to the query. The Operator may, at its discretion, feature individual Shops on the home page.
8.3. The Operator may advertise the Marketplace and the goods listed on it at its own cost.
9. Moderation, restriction and suspension
9.1. In proportion to the breach, the Operator may:
- unpublish a specific product;
- suspend a Shop;
- suspend the Seller's account or terminate the Agreement (section 11),
where the Seller breaches the Agreement, its annexes or the law, where substantiated notices of illegal goods or content are received, where the Seller persistently fails to fulfil orders or respect Buyers' rights, or where a public authority requires it.
9.2. At the latest when applying a measure, the Operator sends the Seller a statement of reasons by email: which measure is applied, the facts and the provision of the Agreement or the law it is based on, whether it is temporary, and how to contest it.
9.3. The Seller may object within 14 days by email to [email protected]. The Operator examines the objection and answers within 14 days; if the objection is justified, the measure is lifted without delay.
9.4. A measure does not release the Seller from fulfilling orders already paid for, accepting returns and making refunds.
10. Personal data and tax reporting
10.1. The Operator and the Seller are independent controllers of Buyers' personal data. The Seller uses a Buyer's data only to fulfil the order, handle returns and complaints and keep the accounting records the law requires, sends no marketing without the Buyer's separate consent, and keeps the data secure.
10.2. The Seller's personal data is processed under the privacy policy.
10.3. Under Council Directive (EU) 2021/514 (DAC7) and the Lithuanian laws implementing it, the Operator collects Sellers' identification data and, by 31 January each year, reports to the State Tax Inspectorate the income Sellers earned through the Marketplace where a Seller made 30 or more sales of goods or received more than EUR 2,000 in the calendar year; the Operator gives the Seller the same information. The Seller provides the data requested (e.g. date of birth, account number); if it is not provided, the Operator may suspend the Shop.
11. Term, amendments and termination
11.1. The Agreement is concluded for an indefinite period and takes effect when the Seller consents to it.
11.2. The Operator may amend the Agreement and its annexes by notifying the Seller by email at least 15 days in advance, or earlier where implementing the change needs more time. The Seller may terminate the Agreement before the amendments take effect. The notice period does not apply where the law requires the amendment or it is needed to address an unforeseen and imminent threat to the security of the Marketplace, Buyers or Sellers.
11.3. The Seller may terminate the Agreement at any time by notifying the Operator by email. Orders paid before termination must be fulfilled.
11.4. The Operator may terminate the Agreement by notifying the Seller by email at least 30 days in advance and giving reasons. The Operator may terminate without notice where the law or a public authority requires it or the Seller repeatedly or materially breaches the Agreement; in that case the Operator sends a statement of reasons without delay.
11.5. When the Agreement ends, the Seller's Shops are unpublished. Order and invoice data is kept for the period required by law.
12. Liability
12.1. The Seller compensates the Operator for losses and costs (including fines and reasonable legal costs) that the Operator incurs because of the Seller's goods or content or a breach of the Agreement, including claims by Buyers and third parties.
12.2. The Operator is not liable for the performance of contracts between the Seller and Buyers, or for indirect losses and lost profits. The Operator's total liability under the Agreement does not exceed the commission the Seller paid in the last 12 months, except for damage caused intentionally or by gross negligence.
12.3. Neither party is liable for failing to perform because of force majeure.
13. Governing law and disputes
13.1. The Agreement is governed by the law of the Republic of Lithuania.
13.2. Disputes are settled by negotiation. Failing agreement, the parties may turn to a mediator from the list of mediators kept by the State-Guaranteed Legal Aid Service; the Operator agrees to take part in mediation in good faith.
13.3. A dispute not settled that way is decided by the courts of the Republic of Lithuania according to the Operator's registered office.
14. Final provisions
14.1. Notices are sent by email: to the Seller at their registration email address, to the Operator at [email protected].
14.2. The Agreement is concluded in Lithuanian. The English translation is for information only; if the versions differ, the Lithuanian text prevails.
15. Seller declaration
By ticking the declaration box, the Seller confirms under Article 30 of Regulation (EU) 2022/2065 (Digital Services Act) that they:
- will offer on the Marketplace only lawful goods that comply with the law of the European Union and the Republic of Lithuania;
- will comply with the laws that apply to their goods and business, including consumer protection, product safety, labelling and tax requirements;
- have provided true and complete details and will update them when they change.
Annex 1. Terms of sale
The terms of sale published on the Marketplace apply (in the version in force when the order is placed).
Annex 2. Listing requirements
Photos
- The product is fully visible in the photo, not cropped.
- No other objects around the product: no props, clutter, hands or packaging unless they are part of the product.
- A light, plain background.
- A minimalist, aesthetic photo: even soft light, sharp focus, true colours.
- Only the Seller's own photos of the actual item being sold – no stock images or other people's photos.
- No watermarks, text, logos, frames, contact details or links.
- At least 1000 px on the shorter side; the first photo shows the whole product from the front.
Goods whose photos do not meet these requirements may be unpublished (section 9).
Descriptions
The title and description describe the item accurately, without misleading claims, exaggerated promises or references to other shops or contacts.
Prohibited goods
The following may not be offered on the Marketplace:
- weapons, their parts and ammunition, explosives, pyrotechnics;
- narcotic and psychotropic substances, medicines and food supplements;
- tobacco products, e-cigarettes and alcoholic beverages;
- counterfeit goods and goods infringing intellectual property rights;
- dangerous or recalled goods and goods that do not meet safety requirements;
- live animals and parts of protected animal or plant species;
- adult content;
- any other goods whose sale is prohibited or restricted in the Republic of Lithuania or the European Union.
